Welcome to FinModeler. These Terms and Conditions (“Terms”) govern your access to and use of our website, application, and related services (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. About Us

Finmodeler is a product of Swell – Training and Development, Lda (“we”, “us”). For support, contact support@finmodeler.com.

2. Use of the Services

  • You must be at least 18 years old (or have legal guardian consent) to use the Services.
  • You are responsible for your account, credentials, and all activity under your account.
  • Do not use the Services for unlawful, harmful, fraudulent, or abusive purposes, including attempting to gain unauthorized access or interfering with normal operations.

3. Scope and Nature of the Service

  • Finmodeler helps users design and generate financial models and related outputs (e.g., Excel files) based on user-provided inputs.
  • The Services are provided for planning and informational purposes. We do not provide certified financial, legal, accounting, or tax advice.
  • You remain fully responsible for the accuracy, completeness, and legality of the data you input.

4. Financial Model Disclaimer

  • Outputs are generated from assumptions you provide. Forecasts are uncertain and actual results may differ materially.
  • We are not liable for decisions made based on the models or analyses produced by the Services.

5. Subscriptions, Trials, and Payments

  • Some features require a paid subscription (“Pro” or similar). Prices and plan details may change with prior notice.
  • Unless stated otherwise, subscriptions are billed in advance and renew automatically until canceled.
  • You can cancel at any time via the billing portal or by contacting support. Cancellations take effect at the end of the current billing period.
  • Except where required by law, fees are non-refundable. Any promotional trials are offered at our discretion and may be modified or withdrawn.

6. Acceptable Use and Restrictions

  • No scraping, bulk exporting, or automated access beyond intended product use.
  • No reverse engineering, copying, reselling, sublicensing, or creating derivative works of the Services or underlying software.
  • You must not upload malware, infringe third‑party rights, or violate applicable laws.

7. Intellectual Property

  • The Services, software, design, and all related IP are owned by Swell – Training and Development, Lda or its licensors.
  • We grant you a limited, non-exclusive, non-transferable license to use the Services in accordance with these Terms.
  • You own your inputs and the outputs you generate for your internal business use, subject to these Terms and any third‑party rights.

8. Third‑Party Services

The Services may integrate with third‑party platforms (e.g., email delivery, cloud storage, payment processors). Your use of any third‑party service is subject to that provider’s terms, and we are not responsible for such services.

9. Availability and Changes

  • We strive for high availability but do not guarantee uninterrupted or error‑free operation.
  • We may add, change, or remove features; suspend or discontinue parts of the Services; or apply maintenance windows.

10. Support

We provide reasonable support via support@finmodeler.com. Response times may vary.

11. Security and Data

  • We implement reasonable technical and organizational measures to protect data.
  • Your use of the Services is also governed by our Privacy Policy, which describes how we collect and process personal data.

12. Warranties and Disclaimers

  • The Services are provided “as is” and “as available” without warranties of any kind, express or implied (including accuracy, fitness for a particular purpose, and non‑infringement).
  • We do not warrant that outputs will meet your requirements or achieve desired results.

13. Limitation of Liability

  • To the maximum extent permitted by law, we shall not be liable for indirect, incidental, special, consequential, or punitive damages, loss of profits, revenue, data, or business opportunities.
  • Our aggregate liability for any claim relating to the Services shall not exceed the amounts paid by you to us in the 12 months preceding the event giving rise to the claim.

14. Suspension and Termination

  • We may suspend or terminate your access for breach of these Terms, legal requirements, or to protect the integrity of the Services.
  • Upon termination, your right to use the Services ceases immediately; certain provisions (e.g., IP, limitations of liability) survive termination.

15. Compliance and Governing Law

  • You must comply with all applicable laws and regulations when using the Services.
  • These Terms are governed by the laws of Portugal, without regard to conflict‑of‑law rules. Courts of Portugal shall have exclusive jurisdiction, unless mandatory law provides otherwise.

16. Changes to These Terms

  • We may update these Terms from time to time. Material changes will be notified within the Service or by email.
  • Your continued use after the effective date of changes constitutes acceptance of the revised Terms.
